1. Welcome & Acceptance of Terms

Welcome to CDPT("Construction Project Development Tool"), a cloud-based multi-tenant SaaS application designed, operated, and maintained by CDPT Platform ("we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between us and the organization or business entity you represent ("Client", "Tenant", "you"), as well as any individual user accessing the platform on your behalf.

By registering for an account, deploying a tenant workspace, logging in, or accessing any services provided on our platform, you explicitly agree that you have read, understood, and agree to be bound by all of the provisions set forth in these Terms.

PLEASE READ CAREFULLY: If you are agreeing to these Terms on behalf of a company, corporate entity, or partnership, you warrant that you possess the necessary administrative authority to legally bind that entity to these Terms. If you do not agree to all provisions, do not access the platform.

2. Accounts & Tenant Spaces

The CDPT platform is a multi-tenant environment. When you register, we provision a dedicated workspace ("Tenant Space") under a custom subdomain (e.g., [your-company].cdpt.local).

Workspace Administration: The root user or designated Tenant Admin is solely responsible for managing invitees, assigning roles (ADMIN, PROJECT MANAGER, OPERATIVE, ACCOUNTING), and configuring access permissions.
Security Credentials: You must protect and secure all access tokens, session cookies, and login credentials. You agree to notify us immediately of any unauthorized access, breach of security, or anomalous activities.
Account Verification: We require valid emails and phone numbers for SMS/OTP verification to prevent fraudulent workspace creation and ensure data reliability on the platform.

3. Platform Usage & License

We grant you a non-exclusive, non-transferable, revocable license to access and use the CDPT platform solely for your business operations in connection with managing construction projects.

Prohibited Uses: You shall not:

Reverse-engineer, decompile, or attempt to extract the source code of the backend or frontend.
Resell, lease, sub-license, or redistribute platform access to unaffiliated third parties.
Bypass, modify, or manipulate the Role-Based Access Control (RBAC) permissions or security enforcement.
Introduce malicious payload, malware, or coordinate distributed denial-of-service (DDoS) attacks.

4. GPS Time Tracking & Operative Compliance

The CDPT platform includes mobile and desktop-based GPS tracking utilities. When operatives clock in or clock out of a designated construction site, the platform captures geolocation metrics to verify physical presence against project geofences.

Consent Obligation: As a Tenant Admin or employer, you are legally responsible for obtaining all necessary consent, authorizations, and compliance acknowledgments from your employees and subcontracted operatives before utilizing GPS location tracking, in accordance with local labor laws and privacy regulations.

We deny any and all liability regarding discrepancies in payroll, timesheets, or labor claims generated from our tracking metrics. geolocational data is provided on an "as-captured" basis from the operative's device.

5. Billing, Subscriptions & Refunds

Access to the platform requires a valid subscription plan, billed on a recurring monthly or annual basis, unless otherwise agreed in writing.

Fees: Subscription fees are based on the selected tier, seat limit, and active operative limits. All fees are exclusive of sales tax, VAT, or other regional tariffs.
Automatic Renewal: Subscriptions renew automatically using the billing credentials provided on Stripe or our payment gateway. You may cancel renewal at any time through the Billing & Subscription settings.
No Refunds: Except where required by statutory consumer law, all subscription fees are non-refundable. Upon cancellation, your service continues until the end of the current billing interval.

6. User Content & Intellectual Property

Tenant Data Ownership: You retain full copyright and ownership of all blueprints, files, CAD drawings, checklists, chat transcripts, reports, and photos uploaded to your tenant workspace.

Platform License: You grant us a limited, worldwide, royalty-free license to store, process, transmit, and display your data strictly to provide the platform functionality (e.g., file compression, rendering, and reporting).

CDPT Rights: The structure, styling, code, database schemas, logo designs, icons, trademarks, and backend code are protected by intellectual property laws and remain the exclusive property of CDPT Platform and its licensors.

7. Disclaimer & Limitation of Liability

THE CDPT PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

To the maximum extent permitted by applicable law, in no event shall we, our affiliates, directors, employees, or suppliers be liable for any indirect, special, incidental, punitive, or consequential damages (including loss of profits, construction project delays, cost overruns, safety compliance issues, or loss of project data) arising out of or in connection with the use of the platform.

8. Suspension & Termination

We reserve the right to temporarily suspend or permanently terminate your access to the platform (and delete your tenant workspace data) if:

You default on subscription payments for more than 14 consecutive days.
You violate any of the restrictive provisions, license conditions, or security guidelines.
Your activities pose a threat to the stability or security of other tenants on the system.

Upon termination, we will provide a 30-day window during which the Tenant Admin may request an export of their database assets and uploaded files, after which the data is permanently erased.
